Digital Marketing Partnership Agreement

These Terms and Conditions (“Agreement”) govern the relationship between Terra Nexus, LLC (“Terra Nexus,” “we,” “us,” or “our”) and any licensed real estate agent, broker, or real estate professional (“Partner” or “you”) who purchases a digital marketing plan or participates in the Terra Nexus partner network.
By completing a purchase, signing an enrollment agreement, or accessing the Terra Nexus Partner Dashboard, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions in their entirety. If you do not agree, please do not proceed with enrollment.
ℹ Terra Nexus is a digital marketing firm. All consumer inquiries we facilitate originate from individuals who voluntarily engaged with our social media, pay-per-click, or digital advertising campaigns. We do not cold call, purchase data lists, or conduct unsolicited outreach. All SMS communications comply with A2P 10DLC standards.
Definitions
For the purposes of this Agreement, the following definitions apply:
- “Terra Nexus” refers to Terra Nexus, LLC, a digital marketing company headquartered at 81 S Keystone Ave, Upper Darby, PA 19082.
- “Partner” refers to the licensed real estate agent, broker, or real estate professional who has entered into this Agreement.
- “Consumer Inquiry” means a voluntary expression of interest from an individual who engaged with a Terra Nexus digital advertising campaign and submitted their contact information through an opt-in form. Consumer inquiries are not cold leads, purchased data, or unsolicited contacts.
- “Plan” refers to the one-time digital marketing package purchased by the Partner, as described in Section 3.
- “Exclusive Territory” means the geographic market area (defined by zip code, city, or county) reserved exclusively for the Partner under an active Plan.
- “Partner Dashboard” means the proprietary Terra Nexus web-based platform through which Partners receive and manage consumer inquiries and campaign performance data.
- “Marketing Fee” means the performance-based fee owed to Terra Nexus upon the successful closing of a real estate transaction involving a consumer introduced through Terra Nexus campaigns.
- “A2P 10DLC” means Application-to-Person 10-Digit Long Code, the industry-standard framework governing business SMS messaging in the United States as governed by The Campaign Registry (TCR) and major wireless carriers.
2. Eligibility & Enrollment
To participate in the Terra Nexus partner network, you must:
- Hold a valid, active real estate license in the state(s) where you intend to operate
- Be affiliated with a licensed brokerage in good standing
- Not be subject to any active disciplinary proceedings, license suspension, or revocation
- Have the legal authority to enter into a binding agreement on behalf of yourself or your business entity
Terra Nexus reserves the right to decline or terminate any partnership application at our sole discretion, including but not limited to cases where territory conflicts exist, where the Partner’s market is not currently served by an active campaign, or where past account issues have been documented.
3. Plans, Delivery Windows
Terra Nexus offers the following digital marketing plans. All plans are one-time purchases with no recurring charges. The plan fee covers campaign setup, ad creative, media spend management, consumer inquiry verification, dashboard access, and dedicated support throughout the delivery window.

⚠ Delivery windows are estimates based on typical campaign performance. Actual delivery timelines may vary depending on market conditions, geographic demand, and seasonal advertising activity. Terra Nexus does not guarantee delivery within a fixed calendar period, but will fulfill the total number of consumer inquiries specified in your plan.
All plan fees are disclosed at the time of purchase. No additional fees are charged without your explicit written consent. A performance-based Marketing Fee (described in Section 6) applies upon closing a transaction with a consumer introduced through Terra Nexus campaigns.
How Consumer Inquiries Are Generated
A2P 10DLC Compliant | Consent-Based Marketing Only
Terra Nexus generates consumer inquiries exclusively through permission-based digital marketing channels, including:
- Paid social media advertising on platforms including Facebook, Instagram, and YouTube
- Pay-per-click (PPC) search advertising on Google and Bing
- Organic social media content and digital engagement campaigns
- Landing pages where consumers voluntarily submit their contact information after engaging with an ad
All consumers who submit their information through Terra Nexus landing pages have explicitly opted in to be contacted regarding their real estate interest. Terra Nexus does not purchase consumer contact lists, engage in cold calling, conduct robocall campaigns, or send unsolicited text messages to any individual.
★ A2P 10DLC Compliance: All SMS communications sent by Terra Nexus — whether to consumers or to Partner agents — are transmitted through registered A2P 10DLC campaigns approved by The Campaign Registry (TCR). Consumers receive SMS communications only after providing explicit written consent on our opt-in forms. Partners receive SMS notifications only after consenting during account setup. Terra Nexus complies fully with CTIA Messaging Principles and all applicable carrier guidelines.
Each consumer inquiry delivered to a Partner may include, where available:
- Consumer name and contact details (phone and/or email)
- A summary of the consumer’s stated interest (buying, selling, or both)
- Geographic area of interest
- A recording or transcript of the consumer’s initial engagement, where legally permissible
Consumer Inquiry Verification
Before delivering a consumer inquiry to a Partner, Terra Nexus conducts a multi-point review to assess:
- Validity of the consumer’s contact information (phone and email)
- Expressed intent to buy or sell real estate within a reasonable timeframe
- Geographic alignment with the Partner’s exclusive territory
- Absence of duplicate inquiry from prior delivery to the same Partner
While Terra Nexus takes significant steps to deliver high-quality, verified consumer inquiries, we do not guarantee that any specific inquiry will result in a closed transaction. Real estate outcomes depend on many variables outside our control, including the Partner’s responsiveness, market conditions, and individual consumer circumstances.
ℹ Replacement Policy: If a delivered inquiry contains invalid contact information, falls outside your agreed territory, or is a confirmed duplicate, you may request a replacement within 7 calendar days of delivery. See our Refund Policy at theterranexus.com/refund-policy/ for full details.
Marketing Fee Structure
In addition to the one-time plan fee, Partners agree to pay a Marketing Fee upon the closing of any real estate transaction involving a consumer who was introduced to the Partner through Terra Nexus’s digital marketing campaigns. The Marketing Fee is calculated as a percentage of the Partner’s net commission (after all brokerage splits, team splits, and transaction fees have been deducted):
Kickstart Plan: 20% of net commission | Core Plan: 15% of net commission | Pro Plan: 10% of net commission | Elite Plan: 5% of net commission | Enterprise Plan: 2.5% of net commission
Marketing Fees apply on both the buyer-side and seller-side of any transaction if Terra Nexus introduced the consumer on both sides. Marketing Fees are due upon receipt of commission disbursement and must be remitted to Terra Nexus within 72 hours of closing. Payment instructions will be provided by your dedicated Success Manager.
a: Duplicate or Prior Contact Disclosure
If you were already in communication with a consumer prior to receiving their information from Terra Nexus through an independent source (not through a prior Terra Nexus inquiry), you must notify us in writing within 48 hours of receiving the inquiry. Terra Nexus will review the disclosure, and if validated, the consumer will be reassigned and the Marketing Fee obligation for that individual will be waived for that transaction.
b: Reporting Obligations
Partners must report all closings involving a Terra Nexus-introduced consumer within 72 hours of the transaction closing date. Failure to report closings or remit Marketing Fees constitutes a material breach of this Agreement and may result in account suspension, termination, and/or legal action to recover owed fees.
Partner Responsibilities
- Respond to all consumer inquiry notifications within 48 hours of receipt to maximize conversion opportunity
- Maintain an active, valid real estate license throughout the duration of your Plan
- Notify Terra Nexus in writing within 5 business days if you transfer to a different brokerage
- Follow all applicable state and federal real estate laws, regulations, and professional standards in all interactions with consumers introduced by Terra Nexus
- Refrain from sharing, reselling, or redistributing consumer inquiry information to any third party
- Maintain the confidentiality of all consumer information provided by Terra Nexus
- Use the Partner Dashboard and communication channels in accordance with acceptable use standards outlined in Section 11
⚠ Terra Nexus reserves the right to pause or permanently terminate a Partner’s account if consumer inquiries are consistently neglected (no response within 48 hours for three or more consecutive inquiries), if the Partner engages in conduct that is unethical, fraudulent, or in violation of applicable law, or if Marketing Fee obligations are not fulfilled.
Exclusive Territory
Each Partner is assigned an exclusive geographic territory based on the zip codes, cities, or counties specified during enrollment. Within your exclusive territory, Terra Nexus will not onboard or deliver consumer inquiries to a competing agent partner for the same property type and consumer type (buyer or seller) during your active Plan period.
Exclusive territory assignment is subject to availability at the time of enrollment. Terra Nexus does not guarantee availability in all markets. If your desired territory is not currently available, our team will work with you to identify an adjacent or similar market.
Exclusive territory rights are tied to your active Plan. If your Plan concludes and is not renewed or upgraded, your territory reservation lapses and may be offered to another Partner.
SMS Communications & A2P 10DLC Compliance
Critical Compliance Section — Please Read Carefully
Terra Nexus communicates with both consumers and Partner agents via SMS. All SMS messaging is conducted in compliance with the A2P 10DLC framework, CTIA Messaging Principles, and the Telephone Consumer Protection Act (TCPA).
a: SMS Communications to Consumers
Terra Nexus sends SMS messages to consumers only after receiving explicit written consent through our opt-in landing pages. Consumers who reply STOP to any Terra Nexus SMS message will be immediately removed from all messaging lists. Terra Nexus does not send unsolicited messages to any consumer.
b: SMS Notifications to Partner Agents
As a Terra Nexus Partner, you will receive SMS notifications related to:
- New consumer inquiry delivery alerts
- Campaign performance updates
- Account and plan status notifications
- Support and success manager communications
By enrolling as a Partner and providing your mobile phone number, you consent to receive these SMS notifications from Terra Nexus. Message and data rates may apply. You may opt out of SMS notifications at any time by replying STOP to any Terra Nexus message. Opting out of SMS does not affect your Plan, inquiry delivery, or contractual obligations — notifications will continue via email and your Partner Dashboard.
c: Message Frequency
SMS notification frequency varies based on campaign activity and inquiry volume. Partners in high-activity markets may receive more frequent notifications. You will receive at minimum one SMS per new consumer inquiry delivered.
d: HELP Requests

e: No Third-Party SMS Sharing
Terra Nexus does not share your mobile phone number with third parties for their own marketing or messaging purposes. Consumer phone numbers provided through Terra Nexus inquiries are shared solely with the assigned Partner for the purpose of facilitating real estate connections, consistent with the consumer’s stated consent at opt-in.
★ A2P 10DLC Registration: Terra Nexus is registered with The Campaign Registry (TCR) and operates under approved A2P 10DLC campaign designations. All outbound messaging complies with carrier-approved use cases. Unauthorized use of Terra Nexus messaging infrastructure or consumer contact data is strictly prohibited and constitutes a material breach of this Agreement.
Live Call Transfers
Where available and operationally feasible, Terra Nexus may facilitate live call transfers connecting a consumer directly to the assigned Partner agent in real time. Live call transfers are a value-added service and are not guaranteed under any Plan. The availability of live transfers depends on consumer availability, campaign timing, and staffing capacity.
When a live transfer is facilitated, the consumer has already been pre-screened by a Terra Nexus team member and has expressed a willingness to speak with an agent. Partners should be prepared to accept transferred calls during their stated available hours. Missed live transfer calls are not eligible for replacement.
Acceptable Use & Code of Conduct
Partners agree not to use the Terra Nexus platform, Partner Dashboard, consumer inquiry data, or any Terra Nexus communications infrastructure for:
- Any unlawful purpose, including violation of real estate licensing laws, fair housing regulations, or consumer protection statutes
- Sending unsolicited marketing messages (spam) to consumers introduced through Terra Nexus
- Reselling, redistributing, or licensing consumer inquiry information to any third party
- Misrepresenting their identity, credentials, or brokerage affiliation to consumers
- Any form of discrimination prohibited by federal, state, or local fair housing laws
- Submitting false or fraudulent closing reports or withholding Marketing Fee payments
Violation of any acceptable use provision is grounds for immediate account termination without refund and may result in legal action. Terra Nexus reserves the right to report violations to relevant licensing authorities and regulatory bodies.
12. Plan Pause, Termination & Account Changes
a: Pause Requests
Partners may request a campaign pause (for example, due to travel, illness, or personal circumstances) by contacting their dedicated Success Manager at least 48 hours in advance. Paused periods are not refundable but will extend your active service window by the equivalent number of paused days. Terra Nexus limits pause periods to a reasonable duration per Plan cycle.
b: Termination by Partner
Partners may terminate their participation in the Terra Nexus network at any time by providing written notice to info@theterranexus.com. Termination does not entitle the Partner to any refund of the one-time Plan fee. Any outstanding Marketing Fees owed at the time of termination remain due and payable.
c: Termination by Terra Nexus
Terra Nexus may terminate a Partner’s account immediately and without notice in cases of: material breach of this Agreement; violation of the Acceptable Use Policy in Section 11; failure to remit Marketing Fees; or conduct that poses legal, reputational, or regulatory risk to Terra Nexus or its consumer network.
d: Brokerage Change
Partners must notify Terra Nexus in writing within 5 business days of transferring to a new brokerage. A brief account review will be conducted to confirm continued eligibility. Failure to notify Terra Nexus of a brokerage change may result in account suspension.
Confidentiality
Both Terra Nexus and the Partner agree to maintain the confidentiality of all non-public information exchanged under this Agreement, including consumer contact information, campaign performance data, pricing, and proprietary platform features. This obligation survives the termination of this Agreement for a period of two (2) years.
Consumer inquiry information provided to Partners is intended solely for the purpose of facilitating real estate services for that consumer. Partners must not use consumer data for any other marketing purpose, list-building activity, or third-party engagement beyond the direct facilitation of the consumer’s stated real estate need.
Limitation of Liability & Disclaimer
Terra Nexus makes no guarantee that any consumer inquiry will result in a closed transaction or any specific financial outcome. Real estate results depend on the Partner’s skill, responsiveness, market conditions, and individual consumer circumstances. All marketing services are provided on an “as-is” and “as-available” basis.
To the fullest extent permitted by applicable law, Terra Nexus’s total liability to any Partner for any cause of action arising from this Agreement shall not exceed the total amount paid by the Partner for their active Plan. Terra Nexus shall not be liable for any indirect, incidental, punitive, or consequential damages, including lost commissions or business opportunities.
Dispute Resolution
Before initiating any formal legal proceeding, both parties agree to attempt to resolve disputes through good-faith negotiation. If a dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Philadelphia, Pennsylvania. Each party shall bear its own arbitration costs unless the arbitrator directs otherwise.
This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. Nothing in this section prevents Terra Nexus from seeking injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
Policy Updates & Amendments
Terra Nexus reserves the right to update or amend these Terms and Conditions at any time. Material changes will be communicated to active Partners via email at least 14 days prior to the effective date of the revised terms. Continued use of Terra Nexus services after the effective date of any update constitutes acceptance of the revised Agreement.

Entire Agreement
These Terms and Conditions, together with the Terra Nexus Privacy Policy, Refund Policy, and SMS Policy (all available at theterranexus.com), constitute the entire agreement between Terra Nexus and the Partner with respect to the subject matter herein and supersede all prior representations, negotiations, and understandings. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
